Additional Agreement for Usage of MONEYBOOKERS Merchant Gateway
The terms below apply specifically to the use of the MONEYBOOKERS Merchant Gateway (“merchant gateway services”) by a business user (“MERCHANT”). This additional Agreement does not in any way limit the User Agreement that the business user accepted prior to becoming a member of the MONEYBOOKERS payment

system.

1. DESCRIPTION OF SERVICE. The service facilitates the real-time collection of payments to MERCHANT in conjunction with MONEYBOOKERS’ electronic payment service. The transfer of the collected payments to the MERCHANT’s electronic money account with MONEYBOOKERS shall be effected immediately, after deduction of the fees due from the MERCHANT.

2. FEES. MONEYBOOKERS's current Fee Schedule for using the merchant gateway service is posted on the Merchant Service Centre Website (http://www.moneybookers.com/merchant). Unless otherwise stated, fees quoted are in EUROS.

3. TAXES. It is MERCHANT’s responsibility to determine what, if any, taxes apply to the payments he receives to collect, report and remit the correct tax to the appropriate tax authority. MONEYBOOKERS is not obligated to determine whether taxes apply, and is not responsible to collect, report, or remit any taxes arising from any transaction.

4. REPRESENTATION OF MERCHANT. By using the MERCHANT gateway to receive funds via MONEYBOOKERS, MERCHANT represents that:

a) MERCHANT is not receiving funds in connection with any illegal, fraudulent, deceptive or manipulative act or practice and MERCHANT is not sending funds to/from a source that has been established by Her Majesty’s Government as a prohibited source, entity, or person.

b) MERCHANT acknowledges and agrees that the Service operates solely as a venue for receiving funds and that MONEYBOOKERS (i) in no way functions as a seller, buyer, dealer, middleman, retailer, auctioneer, supplier, distributor, manufacturer, broker, agent or merchant of any product or service being ordered, obtained or procured by any funds processed through the Service; and (ii) makes no representations or warranties and does not ensure the quality, safety, or legality of any product or service purchased or procured by any funds received through the Service;

c) MERCHANT acknowledges that any dispute regarding any product or service purchased or procured by any funds requested or received through the Service or any transaction involving the Service is between the Sender and Receiver of the funds and the third party goods or service provider. MONEYBOOKERS shall not be a party in any such dispute.

d) MERCHANT has the necessary rights, power, authority and capabilities to enter into this Agreement and perform its obligations hereunder, and that MERCHANT’s performance of this Agreement will not violate the rights of any third party, nor any applicable national or international law or regulation.

e) MERCHANT has all requisite licenses and permits to engage in the advertising and sale of the goods and services offered for sale or use via payment through the Service;

f) MERCHANT will cooperate with MONEYBOOKERS to investigate any suspected illegal, fraudulent or improper activity;

g) MERCHANT agrees to clearly disclose his refund policies on his Website; and

h) all information provided to MONEYBOOKERS about MERCHANT’s business is truthful and up-to-date.

5. VERIFICATION. MERCHANT grants MONEYBOOKERS the right to access his Website through manual observation or automated "spidering" or other automated search techniques in order to confirm the accuracy of information. However, MONEYBOOKERS is under no obligation to monitor the accuracy of MERCHANT’s Website.

6. LICENSE TO USE MERCHANT INFORMATION. By providing business information to MONEYBOOKERS, MERCHANT grants MONEYBOOKERS permission to use the information in connection with MONEYBOOKERS merchant services. Specifically, MERCHANT grants MONEYBOOKERS a non-exclusive, worldwide, perpetual, royalty-free license to copy, publish and display his Website information on the MONEYBOOKERS Website or in email messages related to his MONEYBOOKERS transactions, subject to compliance with MONEYBOOKERS's Privacy Policy. This license will end upon termination of MERCHANT’s user status with MONEYBOOKERS. MONEYBOOKERS's presentation of information about MERCHANT is not an endorsement of the Website or of any goods or services offered on the Website.

7. SPECIFIC LIMITATION OF LIABILITY. MONEYBOOKERS will use best efforts in order to collect MERCHANT’s funds properly. However, MONEYBOOKERS will not incur liability for non-performance because of the existence of any or all of the following occurrences:

a) MERCHANT’s hardware, software or Internet service provider's service is not functioning properly;

b) If MONEYBOOKERS has reason to believe that the transfer is unauthorised or fraudulent;

c) If the transfer received does not contain correct information;

d) If MERCHANT’s received transfers or receipt of funds is intercepted by legal process or other encumbrance restricting the transfer (e.g. security reasons);

e) If circumstances beyond MONEYBOOKERS’ control prevent the execution of MERCHANT’s transfer despite any precautions taken by MONEYBOOKERS. Such circumstances may include, but are not limited to acts of God, power outages, fire, flood, theft, equipment breakdowns, mechanical or systems failures.

8. GENERAL LIMITATION OF LIABILITY In no event shall MONEYBOOKERS or any of its affiliates be liable for lost profits or any indirect, incidental, special, punitive or consequential damages arising out of or in connection with this agreement or any products or services obtained with funds sent through the service whether such claims arise from contract, strict liability or otherwise, even if MONEYBOOKERS has been previously advised of the possibility of such damages.

9. WITHOLDING OF FUNDS. MONEYBOOKERS reserves the right to hold funds beyond the normal distribution period for transactions that it deems suspicious.
